Corporate & Commercial Law in Türkiye

Short answer: Corporate legal work in Alanya should align the company’s registration, authority, shareholder arrangements, contracts and ongoing decisions. For an international owner, tax, accounting, banking, employment and immigration advice may also need coordination with the relevant licensed professionals.

Corporate and commercial services

  • Company formation and choice of structure under Turkish law.
  • Articles, shareholder arrangements and governance documents.
  • Director, manager and signing-authority review.
  • Share transfers, capital changes and corporate resolutions.
  • Commercial contract drafting and negotiation.
  • Shareholder, management and partnership disputes.
  • Legal due diligence for acquisitions or investments.

Formation is only the beginning

A company should be designed around actual ownership, decision-making, funding and risk. Registration alone does not resolve management powers, reserved matters, deadlock, profit distribution, exit or transfer restrictions. These subjects should be documented before conflict arises.

Authority and corporate records

Contracts and bank instructions should be signed by persons with valid authority. Trade-register records, signature arrangements, board or shareholder resolutions and powers of attorney must be consistent. International owners should understand which decisions require physical presence, notarisation or local corporate action.

Commercial contracts and compliance

Supply, distribution, services, construction, lease, confidentiality and cross-border agreements should allocate price, currency, delivery, acceptance, liability, termination and dispute risk. Sector permits, consumer rules, employment, personal data, competition, tax and accounting questions may require coordinated advice.

Shareholder and management disputes

Disagreement may concern access to information, misuse of authority, funding, profit, competition, transfer or exit. Before action, the company records, articles, resolutions, accounts and communications should be secured. Negotiation, corporate remedies, litigation and interim protection are assessed together.

International investors

Foreign shareholders can begin planning remotely, but formation, banking, signatures and permits involve separate institutional requirements. A Turkish company does not automatically give residence or work permission. See Immigration Lawyer in Alanya and Contracts and International Transactions.

Documents for review

  • Current articles and trade-register extracts.
  • Shareholder and management resolutions.
  • Signature circulars and powers of attorney.
  • Share purchase, investment and shareholder agreements.
  • Material customer, supplier, lease and employment contracts.
  • Accounts or transaction documents relevant to the legal question.

Frequently asked questions

Can a foreigner own a Turkish company?

Foreign ownership is possible subject to the applicable company and sector rules. The structure and required steps must be checked for the proposed activity.

Does company ownership grant a work permit?

No. Corporate ownership and work authorisation are separate.

Should shareholders sign a separate agreement?

Often useful, especially for governance, funding, deadlock, transfers and exit, but it must be coordinated with mandatory law and the articles.

Can disputes be prevented?

No document prevents every conflict, but clear authority, records, contracts and decision rules reduce uncertainty.
